1. Agreement
These Terms of Service (the “Terms”) are a binding agreement between Aff2Offer Pro (“Aff2Offer”, “we”, “us”) and the person or company that registers on or uses aff2offer.com or users.aff2offer.com (“you”). By registering, clicking to accept or using our services, you agree to these Terms and our Privacy Policy. If you accept for a company, you confirm you have authority to bind it. If you do not agree, do not use our services.
2. Definitions
- Affiliate: a user who promotes Offers to generate traffic or conversions.
- Advertiser: a user who places Offers on our network.
- Offer: a campaign, product or service with a defined action and payout.
- Smartlink: our link that automatically routes traffic to Offers.
- Conversion: a valid action defined by the Offer (for example a sale, signup or deposit).
- Commission: the amount payable to an Affiliate for validated Conversions.
3. Eligibility and approval
You must be at least 18 and legally able to enter a contract. We may approve, reject or limit any application at our discretion and may ask for identity, business or traffic-source information. You confirm that the information you give is accurate and will keep it up to date.
4. Your account
Keep your login details confidential. You are responsible for all activity under your account. One person or company may hold one account unless we agree otherwise. Tell us immediately about any unauthorised use. You may not sell, transfer or share your account.
5. Offers and Smartlinks
Offers, payouts, caps, geo and traffic rules may change, and may be limited to selected users. Each Offer’s description in the platform forms part of these Terms. Smartlinks route traffic automatically and we do not guarantee any level of earnings or conversions.
6. Traffic quality and prohibited practices
You must promote Offers lawfully and honestly. You must not:
- use bots, scripts, click farms, fake leads, self-conversions or any artificial traffic;
- use incentivised traffic unless an Offer expressly allows it;
- send spam or violate anti-spam and telemarketing laws (such as CAN-SPAM and TCPA);
- use adware, toolbars, forced redirects, cookie stuffing or malware;
- bid on or use advertiser trademarks or brand terms unless permitted;
- make false, misleading or unapproved claims, or hide required disclosures such as paid-promotion notices;
- target minors, or promote on sites with illegal, hateful or infringing content;
- circumvent tracking or tamper with our systems.
7. Vertical-specific rules
- Gambling: promote only to people of legal gambling age (at least 18, or higher where local law requires), only in jurisdictions where it is lawful, and include responsible-gambling messaging.
- Dating and adult: no fake profiles or bots, no deceptive chat, and strict age gating for adult content.
- Sweepstakes, Nutra and Finance: no false earnings, health or financial claims, and no fake endorsements, news layouts or testimonials.
- Offers in every vertical may carry additional rules, which you must follow.
8. Tracking and reporting
Our platform records clicks and Conversions. Unless you show a clear technical error, our records are final for calculating Commissions. You may integrate your own tracker or Postback, but you remain responsible for your own tracking accuracy.
9. Commissions and payments
- Currency: Commissions are calculated and paid in USD.
- Minimum payout: USD 100. Balances below this amount carry over to the next period.
- Schedule: we pay weekly for balances that have reached the minimum and passed validation.
- Hold period: Commissions may be held while we validate Conversions, for up to 30 days from the Conversion date.
- Methods: PayPal, Payoneer, Wire Transfer and cryptocurrency (such as BTC and USDT). You must give correct payout details; fees charged by payment providers or networks may be deducted.
- Reversals: we may reverse or deduct Commissions for Conversions that are rejected, refunded, charged back, fraudulent or that breach these Terms, even if already paid.
- Fraud review: payments tied to suspected fraud or a breach may be withheld until our review ends.
- Taxes: you are responsible for your taxes. We may request tax forms or details and may withhold amounts if the law requires.
- Disputes: tell us about any payment dispute in writing within 30 days of the payment or statement date; later claims may be refused.
10. Advertisers
Advertisers must provide accurate Offer details, lawful products, working tracking and timely Conversion validation. Advertisers pay agreed fees and payouts on time and may not reject valid Conversions without a reasonable, documented reason. Specific commercial terms may be set out in an insertion order or in the platform.
11. Suspension and termination
You may close your account at any time. We may suspend or terminate your access immediately if we reasonably suspect fraud, breach, legal risk or harm to our partners, and otherwise on reasonable notice. Upon termination, valid and validated Commissions earned before termination will be paid under section 9, unless they relate to fraud or a breach, in which case they may be forfeited. Sections that by nature should survive (including 9, 12, 13, 17–19 and 21) will survive.
12. Intellectual property
We own the platform, Smartlinks, branding and content. We grant you a limited, revocable, non-exclusive, non-transferable licence to use them to promote Offers as these Terms allow. You may only use Offer creatives and trademarks as approved, and you keep ownership of your own content.
13. Confidentiality
Keep non-public information such as payout rates, Offer details, caps and account data confidential, and use it only to perform under these Terms, unless the law requires disclosure.
14. Data protection
Each party must comply with the data protection laws that apply to it. You must have a lawful basis, and give any required notices and obtain any required consents, for data you collect through your traffic. Our own handling of personal data is described in our Privacy Policy.
15. Legal compliance
You must comply with all laws that apply to your activities, including advertising, consumer protection, anti-bribery, sanctions and export rules, and anti-money-laundering laws. You may not use our services if you are subject to sanctions or located in a sanctioned territory. We may request verification (KYC) and may refuse or reverse payments where required by law.
16. Your promises
You confirm that you have the right to enter these Terms, that your promotion and content are lawful and do not infringe anyone’s rights, and that everything you tell us is true.
17. Indemnification
You will defend and compensate Aff2Offer, its affiliates, officers and partners against claims, losses and costs (including reasonable legal fees) arising from your traffic, content, breach of these Terms or violation of law.
18. Disclaimers
Our services are provided “as is” and “as available”. To the fullest extent permitted by law, we do not give any warranty, express or implied, including about earnings, uninterrupted service, or that Offers will remain available.
19. Limitation of liability
To the fullest extent permitted by law, we are not liable for indirect, incidental or consequential loss, or for lost profits, revenue or data. Our total liability for any claim relating to the services is limited to the Commissions payable to you in the three months before the claim arose. Nothing limits liability that cannot be limited by law.
20. Third parties
Offers, trackers and payment providers are run by third parties. We are not responsible for their acts, terms or availability.
21. Governing law and disputes
These Terms are governed by the laws of the Hong Kong Special Administrative Region. Before starting formal proceedings, the parties will first try to resolve the dispute in good faith for 30 days after written notice. Any unresolved dispute is subject to the exclusive jurisdiction of the courts of Hong Kong.
22. Changes to these Terms
We may update these Terms. We will post the new version with a new “Last updated” date and, for material changes, notify you by email or in the platform. Continuing to use our services after the effective date means you accept the update.
23. General
These Terms and any Offer rules are the entire agreement between us. If a provision is unenforceable, the rest stays in force. Failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them to a successor. Neither party is liable for delay caused by events beyond its reasonable control. Notices may be sent to your registered email or posted in the platform. If translations differ, the English version prevails.
